Terms of Service

Last updated: October 16, 2026

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of Verger, a business-automation service — including its phone, text, and web widget agents (the “Service”) — provided by Ziverge, Inc. (“Ziverge,” “Company,” “we,” “us,” or “our”), a company organized under the laws of the United States with a business address at 1632 1st Ave #20831, New York, NY 10028.

By accessing getverger.ai, booking a demo, signing an order form, or otherwise using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business. If you do not agree, do not use the Service.

2. The Service

Verger operates AI-driven voice and text agents on Customer’s behalf to answer calls and texts, book appointments, send reminders, and perform related front-office tasks for Customer’s own end customers (“End Customers”). The Service is offered as a flat, one-time setup fee per the tier (Basic, Pro, or a custom Enterprise scope) described on our Pricing page or in a signed order form, which controls if it conflicts with that page.

We may add, change, or discontinue features of the Service at any time. We will make commercially reasonable efforts to notify Customer of changes that materially reduce the Service’s functionality.

3. Accounts & Customer Responsibilities

You are responsible for:

  • Providing accurate business information (name, phone numbers, hours, services, and policies) for the agent to act on;
  • Any phone number, messaging channel, or account you connect to the Service, and for having the legal right to use it;
  • Obtaining any consents required from your End Customers under applicable law before we contact them on your behalf (see Section 4);
  • Reviewing and approving the scripts, prompts, and workflows configured for your agent; and
  • Complying with all laws applicable to your business and industry, including any licensing or disclosure requirements specific to your trade.

We are not responsible for the accuracy of information Customer provides, or for decisions the agent makes based on Customer-approved scripts and data.

4. Messaging & Calling Program Terms

This section applies to any phone calls or SMS/MMS text messages sent or received through the Service, whether the number belongs to Verger or to Customer.

Consent

By providing a phone number to Customer, or by texting or calling a number connected to the Service, an End Customer consents to receive automated and live-agent calls and text messages related to their inquiry (e.g., appointment scheduling, confirmations, reminders, and follow-up). Consent to receive messages is not a condition of purchasing any goods or services from Customer. Message frequency varies based on the End Customer’s interactions. Message and data rates may apply.

Opt-Out

An End Customer may opt out of text messages at any time by replying STOP, or ask for help by replying HELP. After a STOP request, we will send at most one confirmation message and then send no further messages from that program, except as required to complete a transaction already in progress or as permitted by law.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Not all carriers or handsets are supported. Ziverge and Customer are not responsible for messages delayed or blocked by a carrier or device.

Customer Obligations

Customer represents that it has, or will obtain, all consents from its End Customers required by the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and any other applicable law before directing us to contact them, and that any list of phone numbers Customer supplies to us was collected lawfully.

5. Fees & Payment

Fees are as stated on our Pricingpage or in Customer’s order form. Setup fees are one-time and due before we begin configuring the Service unless otherwise agreed in writing. Any ongoing usage-based costs (e.g., call or message volume beyond an included allotment) will be disclosed to Customer before being charged. Except as described under Money-Back Guarantee below, fees are non-refundable once work has begun, unless required by law or expressly agreed in writing.

Basic Tier Selections

The Basic tier includes any four of the seven Verger automations, which Customer selects during onboarding. Customer may change its selections without charge during the first 14 days after purchase. If Customer makes repeated changes, we may charge for the additional setup work, and we will tell Customer before any such charge applies. Customer may upgrade from Basic to Pro at any time by paying the difference between the two tiers’ fees.

Money-Back Guarantee

For a Customer’s first purchase of the Basic or Pro tier, if the Service is not the right fit, Customer may email getverger@ziverge.comwithin 14 days of purchase to request a refund of the one-time setup fee, and we will refund that fee in full. The guarantee does not cover usage costs or admin and maintenance fees already billed, and it does not apply to renewals or additional purchases. Enterprise engagements are governed by the signed order form. When a refund is issued, Customer’s access to the Service ends and the Service is closed (see Section 12).

6. Third-Party Services

The Service is built on and interoperates with third-party infrastructure, including Twilio (voice and messaging delivery), HubSpot (form submission and CRM), and hosting and analytics providers described in our Privacy Policy. Customer’s use of the Service is also subject to those providers’ acceptable-use policies to the extent they apply to messaging and calling activity.

7. Acceptable Use

You will not use the Service to:

  • Send unlawful, harassing, threatening, defamatory, or deceptive communications;
  • Send unsolicited marketing messages to numbers that have not consented to receive them;
  • Transmit malware or attempt to gain unauthorized access to the Service or its infrastructure; or
  • Reverse engineer, resell, or white-label the Service without our prior written consent.

We may suspend the Service immediately if we reasonably believe it is being used in violation of this section.

8. Intellectual Property

Ziverge retains all right, title, and interest in the Service, including the Verger name, software, agent configurations, and documentation. Customer retains ownership of its own business data and content it provides to us. We grant Customer a limited, non-exclusive, non-transferable right to use the Service for its own business during the term of the agreement.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ZIVERGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY AGENT INTERACTION WILL BE ACCURATE. Verger is an automation aid, not a replacement for Customer’s own judgment on matters requiring professional, medical, or legal advice.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZIVERGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. ZIVERGE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID TO ZIVERGE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

Customer will indemnify and hold Ziverge harmless from third-party claims arising from Customer’s breach of these Terms, Customer’s content or instructions given to the agent, or Customer’s failure to obtain required End Customer consents.

12. Term & Termination

These Terms apply for as long as Customer uses the Service. Either party may terminate for the other party’s uncured material breach on 30 days’ written notice. We may suspend or terminate the Service immediately for violations of Section 7 (Acceptable Use) or non-payment. Sections that by their nature should survive termination (including Sections 8–11) will survive. If we refund Customer under the Money-Back Guarantee in Section 5, the Service is closed and Customer may no longer use it.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute not subject to informal resolution will be brought exclusively in the state or federal courts located in New York, NY, and each party consents to that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify Customer directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
